These Terms and Conditions (“Terms”) govern the use of services (“Service”) provided by AdShakti, an Indian digital advertising platform with its principal office at:

5/3 Srishti Apartments, MMM Marg, Lucknow – 226001, Uttar Pradesh, India

By registering, accessing, or using any part of the Service (web or mobile), the Customer agrees to abide by these Terms. If the Customer is acting on behalf of a company or other entity, they affirm they have full authority to bind that organization to these Terms.

1. Definitions

Affiliate: Any entity that directly or indirectly controls, is controlled by, or is under common control with another entity.

Ad Account: An advertising account linked to any third-party Ad Network.

Ad Network: A third-party advertising platform such as Google Ads, Meta Ads, LinkedIn, etc.

Ad Spend: The actual amount spent on ad campaigns through the linked Ad Accounts.

Platform: The proprietary software-as-a-service (SaaS) platform branded as “AdShakti.”

Service: Tools and features offered by AdShakti to manage digital advertising.

Intellectual Property Rights: Includes trademarks, copyrights, patents, trade secrets, and other proprietary rights.

2. License and Permitted Use

The Service is licensed (not sold) to the Customer for internal business use only.

No guarantee is provided on results or performance (ROI) of ad campaigns.

Customers are responsible for their internet access, devices, and account security.

Prohibited activities include, but are not limited to:

• Reselling the service
• Uploading illegal or unauthorized content
• Attempting to bypass system security
• Violating the terms of any Ad Network

3. Registration

Registration requires a valid and verified mobile number.

Login credentials are personal and must not be shared.

Users must connect only valid and authorized Ad Accounts.

Reverse-engineering, reselling, or copying the platform is strictly prohibited.

4. Intellectual Property

All rights, ownership, and IP in the Platform are held by AdShakti.

Customer retains ownership of their uploaded content.

Suggestions and feedback provided by the Customer may be used by AdShakti without further permission or compensation.

Ad Network content remains subject to each respective platform's terms.

5. Third-Party Services

The Platform may use third-party APIs or services, each governed by their own terms.

AdShakti is not liable for failures or inaccuracies arising from third-party services.

6. Fees and Payments

Platform usage fees depend on Ad Spend and may include commissions or service charges.

Payment is required as per the invoices generated for ad orders.

All fees are subject to change with advance notice (without retroactive effect).

7. Representations and Warranties

By AdShakti:

• It has all legal rights and licenses to operate the Platform.

By the Customer:

• They have legal authorization to operate their Ad Accounts.
• They will comply with applicable laws and Ad Network policies.
• They will not infringe third-party rights.

8. Confidentiality

All non-public information shared during usage of the Service must be kept confidential.

Disclosure is permitted only as required by law or with prior written consent.

9. Disclaimer and Limitation of Liability

The Service is provided “as is” and “as available” without any express or implied warranty.

Temporary downtime or performance issues may occur.

In no event shall AdShakti’s liability exceed the total fees paid by the Customer during the last 3 months.

10. Termination

AdShakti may suspend or terminate accounts in the following situations:

• Violation of these Terms or any Ad Network’s terms.
• Non-payment of dues.
• Legal insolvency or similar proceedings.

On termination:

• All access will be revoked.
• Services already rendered are non-refundable.
• Unused ad credits may be refunded pro-rata (if applicable and not due to breach).

11. Data Collection and Privacy

Usage data may be collected to improve the service.

Customers are responsible for ensuring legal consent for any personal data provided.

Data may be stored or processed in compliance with applicable data laws.

Privacy terms are governed separately in our Privacy Policy.

12. General Provisions

Modifications: AdShakti may update these Terms; continued use implies acceptance.

Severability: Invalid clauses do not affect the rest.

Governing Law: These Terms are governed by the laws of Uttar Pradesh, India.

Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of courts in Lucknow.

Assignment: Customers may not assign rights without prior written consent.
